1. Acceptance of Terms
By accessing or using Less Panic ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
You must accept these Terms before creating an account. Continued use of the Service after any modifications to these Terms constitutes your acceptance of the revised Terms.
2. Description of Service
Less Panic is a personal finance management tool that helps users track recurring bills, income, and account balances. The Service includes web-based access, bank account connections for transaction syncing, and integrations with third-party financial services.
3. Account Registration
To use Less Panic, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized account access
You are responsible for all activities that occur under your account. You are solely responsible for the accuracy of financial data you enter into the Service, including account balances, bill amounts, income amounts, and transaction details. Less Panic does not verify the correctness of user-entered data and is not liable for any consequences resulting from inaccurate information you provide.
4. Subscription and Billing
Free Trial
New users receive a 30-day free trial with full access to all features. After the trial, a 15-day grace period allows continued access before subscription is required.
Paid Subscription
After the trial period, continued use requires a paid subscription at $5/month or $50/year. Subscriptions are billed in advance and renew automatically until cancelled.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law. No credits, refunds, or extensions will be issued for service interruptions, outages, or periods of unavailability.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service
- Upload malicious code or content
- Use automated systems to access the Service without permission
- Resell or redistribute the Service without authorization
6. Third-Party Integrations
Less Panic integrates with third-party services including LunchMoney, Stripe, and Plaid. Your use of these integrations is subject to their respective terms of service. We are not responsible for third-party service availability or functionality.
Plaid: Plaid integration allows you to connect bank accounts via Plaid Link, sync account balances and transaction data, and automatically match transactions to your scheduled bills. By connecting a bank account via Plaid, you authorize Less Panic to retrieve your account and transaction data from your financial institution through Plaid's services. Your use of Plaid is also subject to Plaid's End User Privacy Policy. MFA is required before connecting bank accounts.
7. Email Forwarding Service
Less Panic provides a unique email forwarding address for automated bill extraction. By using this feature:
- You agree to only forward emails you have the right to share
- Forwarded emails are processed using third-party AI services to extract billing information
- Email content (excluding attachments) is stored for 90 days then automatically deleted
- We do not read or store email attachments
- Your forwarding address is permanent once activated
- You are solely responsible for the content of emails you forward. Do not forward emails containing sensitive personal information (such as Social Security numbers, bank account credentials, or medical records) beyond what is necessary for bill extraction. Forwarded email content is sent to third-party AI services for processing, and Less Panic is not responsible for any consequences arising from sensitive information you choose to forward
Automated bill extraction is provided as a convenience and may contain errors. Extracted amounts, dates, and other details are generated by automated systems (including third-party AI services) and may not accurately reflect your actual bills. You are responsible for reviewing and verifying all extracted information before relying on it. Less Panic is not liable for missed payments, incorrect amounts, or any financial consequences resulting from extraction errors.
8. Automated Features
When you connect a bank account, Less Panic may automatically match incoming transactions to your scheduled bills based on amounts and dates. Automated matching is provided as a convenience and may produce incorrect results, including but not limited to: incorrectly marking a bill as paid, failing to match a legitimate payment, or matching the wrong transaction. You are solely responsible for reviewing and verifying matched transactions. Less Panic is not liable for missed payments, duplicate payments, late fees, or any other financial consequences resulting from incorrect or missed automatic matches.
Various features of the Service use artificial intelligence and automated analysis. All automated results — including bill extraction (see Section 7), transaction matching, cash-flow forecasts, and insights — are approximate and may contain errors. You should not rely on any automated output without independent verification.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.
10. Intellectual Property
The Service, including its design, features, and content, is owned by Less Panic and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.
You retain ownership of the data you input into the Service. By using the Service, you grant us a license to process your data as necessary to provide the Service.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee that the Service will be uninterrupted, secure, error-free, or free from viruses or other harmful components. We do not guarantee any specific level of service availability or uptime, and the Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
Less Panic is a tool for personal finance tracking and is not a substitute for professional financial advice. We are not responsible for financial decisions made based on information displayed in the Service. You should independently verify all financial information and consult qualified professionals before making financial decisions.
Transaction data from third-party services (such as Plaid) is provided by your financial institution and may not reflect the most recent activity. Less Panic is not responsible for the accuracy, completeness, or timeliness of data received from third-party services.
While we implement commercially reasonable security measures to protect your data, no system is completely secure. We are not liable for unauthorized access to, or alteration, theft, or destruction of your data resulting from circumstances beyond our reasonable control, including but not limited to security breaches, hacking, failures of third-party services, or other malicious acts by third parties. Without limiting the foregoing, we are not liable for any data breach, security incident, service disruption, or data loss caused by or originating from any third-party service provider, including but not limited to Plaid, Stripe, Amazon Web Services, Google, Cloudflare, or any financial institution.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LESS PANIC, ITS OWNER, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless Less Panic, its owner, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any rights of a third party
- Any data or content you provide to the Service, including forwarded emails
- Any financial decisions you make based on information in the Service
14. Account Termination
You may delete your account at any time through your account settings. We may suspend or terminate your account if you violate these Terms or for any other reason at our sole discretion, with or without notice.
Upon termination, your right to use the Service ceases immediately. Data deletion follows our Privacy Policy. Sections 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 17 (Governing Law) survive termination.
15. Force Majeure
Less Panic shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, power failures, internet or telecommunications failures, cyberattacks, failures of third-party services (including hosting providers, payment processors, and bank data providers), pandemics, or other force majeure events.
16. Changes to Terms
We may modify these Terms at any time. We will notify you of significant changes by email or through the Service at least 30 days before changes take effect. Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of such courts.
18. Dispute Resolution
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in Virginia. The arbitrator's decision shall be final and binding.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class action lawsuits or class-wide arbitration.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction. Either party may also bring an individual action in small claims court for disputes within that court's jurisdictional limits.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
20. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Less Panic regarding your use of the Service and supersede all prior agreements and understandings.
